Goodbye Datto

These “GoodbyeDatto” Supplementary terms (“Supplementary Terms”) apply to any subscription to the Service(s) through the GoodbyDatto offer at https://goodbyedatto.com/?trk=organization-update_share-update_update-text. Except to the extent modified herein, your access to and use of the Service(s) is governed by the Terms available at https://superops.ai/terms .

1. Applicability

These Supplementary Terms shall apply only if:

1. You are an existing customer of Datto, and

2. You are signing up for the Service(s) for a period of at least two (2) years.

2. Term and Termination 

Your subscription to the Services shall be for an initial period of one (1) year (“Initial Term”). For the avoidance of doubt, the Initial Term shall include the Trial Period. Thereafter, Your subscription will automatically renew for a period of one (1) year (“Renewal Term”). 

In the event these Terms are terminated by You during the Initial Term, You shall be liable to pay the applicable pro-rata Subscription Charges for the period during which You used the Service(s). 

In the event these Terms are terminated by You during the Renewal Term, You shall be liable to pay the applicable Subscription Charges for the entire Renewal Term and no refunds will be issued for partial use or non-use of the Service(s).

3. Charges and Payment: 

If You are an existing customer of Datto, Your subscription to the Services shall be free of charge for the Initial Term. In the event You want to upgrade Your subscription plan or add additional Users during the Initial Term, You will be subject to overage charges accordingly and We shall raise an invoice for such overage charges in advance. Payment for any such invoices raised is due within thirty (30) days of Our invoice date.

The charges for the Renewal Term shall be the then prevailing Subscription Charges.

4. Sign-Up Process 

You may avail the one-year-free #RIPDatto or #GoodByeDatto campaign offer by subscribing to any of Our subscription plans listed on Our Website before 31st May, 2022 by either :

1. Visiting https://goodbyedatto.com/ and filling in the form;

2. Visiting the SuperOps.ai website and signing up for Our platform. Our sales representatives will get in touch with You immediately; or

3. Writing to sales@superops.ai

5. Miscellaneous 

Entire Agreement: The Terms, along with the Supplementary Terms and any Order Forms, constitute the entire agreement, and supersede any and all prior agreements between Us and Yourself with regard to the subject matter hereof. Terms not specifically defined herein shall have the meaning ascribed thereto in the Terms.

Conflict: In the event of a conflict between the Terms and these Supplementary Terms, the Terms shall prevail, except to the extent modified in the Supplementary Terms.
